Corporate and commercial lawyers for businesses and sole traders

 Contact Us

At GAIA we advise companies and sole traders on corporate and commercial law, so that the transactions the business enters into are legally sound and the company has a firm footing to operate from.

Our lawyers advise on the decisions that shape a company: how it is set up, how it is structured, and what changes as it grows. The aim is a clear legal framework, which is what allows a business to commit to things with confidence.

Commercial law governs the relationships that matter most — between companies, between shareholders, and in every commercial transaction the business undertakes. It is worth getting right at the point the agreement is made rather than the point it is disputed.

Company formation and structure

We advise businesses and founders on incorporating a company, choosing the right legal form, and setting up the share structure properly from the outset.

We also handle changes as the company develops: amendments to the articles of association, increases and reductions of share capital, and other corporate changes, executed in accordance with current requirements.

Commercial contracts

We draft, review and negotiate commercial contracts, so that what the business has agreed is what the document actually says.

We look at each transaction to make sure the contract sets out clearly what each party is entitled to and responsible for. That reduces legal exposure, and it is what keeps commercial relationships workable when circumstances change.

Corporate transactions

We advise on more complex corporate work: mergers, acquisitions and restructurings, from the initial assessment through to completion.

These transactions have a great deal riding on them and little margin for error. Our role is to structure the deal properly, identify what the risks actually are, and see it through with the company's interests protected at each stage.
